Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On November 13, 2009, the Board of Directors (the "Board") of Procera Networks,
Inc. (the "Company"), on the recommendation of the Compensation Committee of the
Board, approved an increase in the annual base salary of Mr. James Brear,
President and Chief Executive Officer, to $295,000 effective as of January 1,
2010 and set Mr. Brear's annual bonus target for 2010 at 75% of base salary.
