On November 16, 2009, Scientific Games Corporation announced that it commenced a cash tender offer to purchase any and all of its outstanding 0.75% Convertible Senior Subordinated Debentures due 2024. The tender offer is being made pursuant to an Offer to Purchase, dated November 16, 2009, and the related Letter of Transmittal, which together more fully set forth the terms and conditions of the tender offer.
The tender offer will expire at 12:00 midnight, New York City time, on December 14, 2009, unless extended or earlier terminated.
Attached hereto as Exhibit 99.1 and incorporated herein by reference is the press release announcing the tender offer.
