On November 9, 2009, the board of directors of StanCorp Financial Group, Inc. ("StanCorp") appointed new director George J. Puentes to serve on the Finance & Operations Committee and the Organization & Compensation Committee effective November 9, 2009, and appointed new director Duane C. McDougall to serve on the Audit Committee and the Nominating & Corporate Governance Committee effective December 1, 2009.

Item 8.01 Other Events.

On November 9, 2009, StanCorp issued a press release announcing that its Board of Directors has declared an annual cash dividend of $0.80 per share. StanCorp also announced that its Board of Directors has authorized a new share repurchase program of up to 2 million shares of StanCorp common stock.
