As previously disclosed on a Current Report on Form 8-K of Xfone, Inc. (the
"Registrant') dated October 26, 2009, Midroog Limited, an Israeli rating company
which is a subsidiary of Moody's Investor Services ("Midroog"), issued a
monitoring report relating to a bond offering in Israel in connection with the
Registrant's financing of its acquisition of NTS Communications, Inc. On
November 9, 2009, the Registrant received Midroog's approval for the filing of
an English version of the report. A copy of the English version of the report is
attached hereto as Exhibit 99.1. A Hebrew version of the report is available on
