(b) On November 6, 2009, Ralph Loewenberg, a member of Commercial Metals
Company's (the "Company") Board of Directors, communicated his intent to
retire from the Board of Directors at the Company's 2010 annual meeting to
be held on January 28, 2010. Mr. Loewenberg's decision to retire at the end
of his term was due to obligations outside of his duties as a Director and
there was no disagreement between Mr. Loewenberg and the Company that led to
Mr. Loewenberg's decision to retire.
