Item 5.03. Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

(a) At its meeting on October 28, 2009, the Board of Directors of the Corporation adopted an amendment to Article V, Section 12 of the Corporation's Bylaws reflecting the addition of the Risk and Credit Policy Committee and eliminating the requirement to have an Executive Committee. A copy of Article V,
Section 12 of the Corporation's Bylaws, as amended, is attached here to as Exhibit 3.1.
