Item 8.01. Other Events.

Effective as of October 29, 2009, the Board of Directors of Wizzard Software Corporation, a Colorado corporation (the "Company"), resolved to extend the expiration date of all of the Company's currently outstanding Class A Common Stock Purchase Warrants (the "Class A Warrants") from November 3, 2009, to May 3, 2010. Genesis Microcap Inc. and Whalehaven Capital Fund Ltd., the sole holders of the Class A Warrants, hold Class A Warrants to purchase 131,250 shares and 187,500 shares of the Company's common stock, respectively.
