Item 8.01. Other Events.

On October 27, 2009, the U.S. Department of Energy announced that Vermont's electric utilities will receive $69 million in federal stimulus funds to deploy advanced metering, new customer enhancements, and grid automation. As a participant on Vermont's Smart Grid Stimulus application, CVPS will receive a grant for over $31 million. The Company issued a news release which is attached hereto and incorporated herein by reference as Exhibit 99.l.
