Item 8.01. Other Events.

On October 5, 2009, CombinatoRx, Incorporated ("CombinatoRx") issued a press release announcing that the combination drug candidate Prednisporin (FOV1101), which was exclusively licensed by CombinatoRx to Fovea Pharmaceuticals SA ("Fovea"), is being acquired by Sanofi-Aventis through a proposed acquisition of Fovea. The full text of CombinatoRx's press release regarding the announcement is filed as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.
