Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year

In connection with the resignation of Jefferson G. Parker from the Board of Directors of the Registrant, on September 21, 2009, the Board of Directors amended Section 3.1 of the Bylaws to decrease the number of authorized directors from ten to nine. A copy of the Bylaws, as amended, is attached as Exhibit 3.1 to this Current Report on Form 8-K.
