(b) On September 11, 2009, Daniel E. O'Keefe, Vice President and Chief Operating Officer of ADDvantage Technologies Group, Inc. (the "Company"), submitted his resignation effective September 30, 2009 from those positions in order to pursue other business opportunities. Mr. O'Keefe will continue to serve on the Company's board of directors.

(c) Kenneth A. Chymiak, President and Chief Executive Officer of the Company since 1999, will assume Mr. O'Keefe's responsibilities effective October 1, 2009.
