Year.

On August 18, 2009, the Registrant filed a Certificate of Designations with the Delaware Secretary of State. The Certificate of Designations reduced to 1,500,000 the number of authorized shares of the Registrant's Class A $.05 Non-Cumulative Participating Convertible Preferred Stock. A copy of the Certificate of Designations is attached hereto as Exhibit 3.1.

Item 8.01. Other Events.

On August 25, 2009, the Registrant filed a Restated Certificate of Incorporation with the Delaware Secretary of State. The Restated Certificate of Incorporation restated and integrated, but did not further amend, the provisions of the Registrant's Certificate of Incorporation, as previously amended. A copy of the Restated Certificate of Incorporation is attached hereto as Exhibit 3.2.
