(b) Departure of Principal Financial Officer
On August 31, 2009, Paul Smiertka's employment was terminated due to his
untimely death. Mr. Smiertka was Chief Financial Officer and Corporate Treasurer
of Lapolla Industries, Inc. (the "Company") since March 3, 2008. Michael T.
Adams, Director and Executive Vice President will additionally serve as the
Company's Principal Financial Officer until such time that a successor is
appointed. Mr. Adams has served as an interim CFO in the past and has been
involved with the Company since January 1, 1997. He is experienced in
accounting, financial statements, and internal controls.
