Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year

On August 31 2009, IBERIABANK Corporation (the "Company") filed Articles of Amendment to the Company's Articles of Incorporation with the Secretary of State of Louisiana. The Articles of Amendment became effective upon filing.

The Articles of Amendment amended Article 4.A. of the Company's Articles of Incorporation to increase the authorized shares of its common stock from 25 million to 50 million.

A copy of the Articles of Amendment, as filed with the Secretary of State of Louisiana, is filed as Exhibit 3.1 to this Current Report on Form 8-K and is hereby incorporated by reference.
