(b) Effective August 28, 2009, Thomas W. Hill resigned as a director of Astec Industries, Inc. (the "Company"). Mr. Hill's resignation from the Company's Board of Directors did not involve any disagreement on any matter relating to the Company's operations, policies or practices.
