Item 1.01 Entry into a Material Definitive Agreement.

On September 1, 2009, ADDvantage Technologies Group, Inc. entered into an indemnification agreement with each of its executive officers and members of the Board of Directors (the "Indemnification Agreement"). The Indemnification Agreement provides for the indemnification by the Company of each of its officers and directors against any threatened, pending or completed action, suit or proceeding, whether civil, criminal, administrative or investigative in nature, in connection with such officer's or director's service to the Company in such capacity. A copy of the form of Indemnification Agreement is attached hereto as Exhibit 10 and is incorporated herein by reference.
