Results of Operations and Financial Condition
The unaudited financial statements (the "Financial Statements") of SMC Global Securities Limited ("SMC") for the quarter ended June 30, 2009, are attached hereto as Exhibit 99.1. The Financial Statements are not the financial statements of the registrant. The registrant's principal asset is its ownership of equity interest in SMC. The remainder of the registrant's assets are invested in cash and cash equivalents.

On August 17, 2009 the registrant issued a press release announcing the release of the Financial Statements by SMC Global Securities Limited, a copy of which is attached hereto as Exhibit [99.2] and incorporated herein by reference.
