Item 8.01 Other Events.

On August 14, 2009, Stream Global Services, Inc. ("Stream") entered into a Share Exchange Agreement ("Exchange Agreement") among EGS Corp., a Philippine corporation (the "Company"), EGS Dutchco B.V., a corporation organized under the laws of the Netherlands, and NewBridge International Investment Ltd., a British Virgin Islands company. As a result, the current Stream and EGS Corp. stockholders will own approximately 57.5% and 42.5%, respectively, of the combined entity. The foregoing description of the Exchange Agreement is qualified in its entirety by reference to the full text of the Exchange Agreement, a copy of which is expected to be filed as an exhibit to a subsequent Current Report on Form 8-K.

On August 14, 2009, Stream issued a press release announcing the exchange agreement, a copy of which is attached as Exhibit 99.1 to this Current Report on Form 8-K.
