Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On August 7, 2009, ICF International, Inc. (the "Company") appointed Mr. Scott Bresler as the Company's principal accounting officer. Mr. Bresler is not a party to any material plan, contract or arrangement with the Company and has no direct or indirect material interest in any reportable related party transactions with the Company. Mr. Bresler assumed the role of principal accounting officer from Mr. Alan Stewart, the Company's Chief Financial Officer, effective August 7, 2009. Mr. Bresler, 62, is a certified public accountant who joined the Company in 2000 as the Controller. In his new role, Mr. Bresler will have responsibility for the Company's external reporting, accounting policies, tax and technical accounting services. He will serve as the primary liaison with the Company's external auditors, Grant Thornton LLP.
