Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal
Year.
On July 31, 2009, Cliffs Natural Resources Inc. (the "Company") filed an
amendment (the "Amendment") of its Articles of Incorporation with the Secretary
of State for the State of Ohio. The Amendment, approved by the Company's Board
of Directors at a meeting on July 14, 2009, removed Subdivision A-2 of the
Articles of Incorporation effective July 31, 2009. Subdivision A-2 had set forth
the terms of the Company's 3.25% Redeemable Cumulative Convertible Perpetual
Preferred Stock, all of which have been fully converted.
