APPOINTMENT OF CERTAIN OFFICERS; COMPENSATORY ARRANGEMENTS OF CERTAIN OFFICERS.
John T. Collins, William Barnet, III and Gary L. Countryman resigned as members
of the Board of Directors of Bank of America Corporation (the "Corporation").
The resignation of Mr. Collins was effective July 29, 2009, and the resignations
of Mr. Barnet and Mr. Countryman were effective July 31, 2009. Each director's
decision to resign was not as a result of any disagreement with the Corporation
or its management.
