On July 28, 2009, NeoMedia Technologies, Inc., a Delaware company (the "Company"), entered into an agreement (the "License Agreement") with Mobile Tag, Inc., a Delaware company ("Mobile Tag"), in which the Company granted to Mobile Tag a non-exclusive license to a portion of the Company's patent portfolio within the Field of Use and in the Territory (as such terms are defined in the License Agreement). The foregoing description of the License Agreement is qualified in its entirety by reference to the actual terms of the License Agreement, a copy of which is attached hereto as Exhibit 10.1 which is incorporated by reference herein in its entirety.

On July 29, 2009, the Company issued a press release (the "Press Release") announcing the License Agreement. A copy of the Press Release has been furnished with this Current Report on Form 8-K and is attached hereto as Exhibit 99.1, which is incorporated by reference herein in its entirety.
