Item 1.01- Entry into a Material Definitive Agreement.

On July 16, 2009, DigitalPost Interactive, Inc. (the "DigitalPost") agreed to provide additional software development and consulting services for Local.com Corporation, the largest local internet search network in the United States, according to the terms of a pre-existing professional services relationship with Local.com.

Pursuant to the current agreement, DigitalPost will design, develop and deliver software as prescribed by the relevant statement of work, with product delivery expected to be completed during the third and fourth quarter of 2009. DigitalPost will earn a total fee of $50,000 for the design, development and delivery of such software.
