Item 5.02 Departure of Directors or Certain Officers
On July 15, 2009, Bernd Matthes informed the Company of his intention to resign from his positions as President of Transmission Joint Ventures and Vice President of the Company to focus on other professional pursuits. While the Company and Dr. Matthes are considering a separation arrangement, the Company has not yet entered into any material plans, contracts or arrangements, or amended any existing plans, contracts or arrangements with Dr. Matthes.
