Amendment to Employment Agreement
On July 14, 2009, Christopher Gardner entered into an agreement with Vitesse
Semiconductor Corporation (the "Company") to amend the Amended and Restated
Employment Agreement between the Company and Mr. Gardener dated as of
February 4, 2009. This amendment extends the term of Mr. Gardner's employment
as the Company's Chief Executive Officer through January 27, 2010. The terms
and conditions of Mr. Gardner's employment agreement are summarized in the
Company's current report on Form 8-K filed on February 26, 2009, which is hereby
incorporated herein by reference.
