(e) On June 3, 2009, at the 2009 Annual Meeting of Stockholders (the "Annual Meeting") of National Financial Partners Corp. (the "Company"), the Company's stockholders approved the 2009 Stock Incentive Plan (the "2009 SIP") and the 2009 Management Incentive Plan (the "2009 MIP").

Approval of 2009 Stock Incentive Plan" in the Company's definitive proxy statement for the 2009 Annual Meeting of Stockholders filed with the Securities and Exchange Commission (the "SEC") on April 21, 2009 (the "Definitive Proxy Statement") and is incorporated herein by reference. In addition to the approval of the 2009 SIP and 2009 MIP, the Company's stockholders approved the re-election of all directors to the Company's Board of Directors and the appointment of PricewaterhouseCoopers LLP as the Company's independent registered public accounting firm for the fiscal year ending December 31, 2009.
