Item 8.01. Other Events.

On May 21, 2009, the Federal Energy Regulatory Commission approved Exelon Corporation's (Exelon) application for its proposed acquisition of NRG Energy, Inc. (NRG), as required by Section 203 of the Federal Power Act.

A copy of the press release is attached as Exhibit 99.1 to this Current Report on Form 8-K.
