Item 8.01 Other Events.
Effective May 15, 2009, Messrs. John Dorman, Edward D. Horowitz and Bruce A.
Jaffe were elected to the Online Resources Corporation (the "Company") Board of
Directors. The election, held at the Company's May 6, 2009 Annual Meeting of
Stockholders, was certified on May 15, 2009 by the Company's independent
election inspectors. Messrs. Dorman, Horowitz and Jaffe will serve for a term of
office to expire at the third succeeding annual meeting of stockholders after
their election, with each to hold office until his or her successor shall have
been duly elected and qualified.
