ITEM 3.03 MATERIAL MODIFICATION TO RIGHTS OF SECURITY HOLDERS.

On May 1, 2009 the board of directors of SCI Engineered Materials, Inc. (the "Company") authorized the extension of the expiration date of the common stock purchase warrants described below by twelve months. The warrants were all issued in 2004, and were set to expire either on May 31, 2009 or November 1, 2009. The expiration dates have now been extended to May 31, 2010 and November 1, 2010, respectively. In total, this extension of the expiration date of the common stock purchase warrants identified above will apply to an aggregate of 160,418 warrants.
