Item 8.01. Other Events

On April 30, 2009, Assurant, Inc. informed the RiskMetrics Group that it intends to continue its current practice of providing annual equity awards to its President and Chief Executive Officer in accordance with the following:

- at least 50% of the annual equity awards (in terms of number of shares) will be performance-based equity awards that are earned or paid out based on the achievement of performance targets; and

- the performance criteria measured and the difficulty of the achievement will be disclosed in the proxy statement for each annual meeting of shareholders, each in accordance with applicable SEC regulations.
