Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On April 15, 2009, GenCorp Inc. (the "Company") entered into a Retention
Agreement with Chris W. Conley, the Company's Vice President, Environmental,
Health and Safety. Mr. Conley has been employed by the Company since 1982 and
has been serving in his current role since October 1999. Pursuant to the terms
and conditions of the Retention Agreement, Mr. Conley will receive a retention
bonus equal to $200,000, less applicable withholdings and deductions, if he
continues to be employed by the Company on March 6, 2011, which will be paid on
the first payroll date following such date.
