Results of Operations and Financial Condition, Financial Statements and Exhibi
(a) On March 30, 2009, Dover Saddlery, Inc. (the "registrant") issued a press release reporting on its results of operations for the quarter and year ended December 31, 2008. A copy of that press release is attached hereto as Exhibit 99.1 and incorporated by reference herein.
The press release includes references to non-GAAP financial information that exclude the effects of a goodwill impairment charge made in the fourth quarter of 2008. A reconciliation to the most directly comparable GAAP measure is included in the financial statements portion of the press release. We are presenting non-GAAP financial information in the press release because we believe that the information is a beneficial supplemental disclosure to investors in analyzing and assessing our operating performance, exclusive of the effects of the goodwill impairment charge, and to provide a basis for reviewing our operating performance on a consistent basis for the periods presented. In addition, management utilizes such information in analyzing our performance and for planning purposes.
