Entry into a Material Definitive Agreement, Financial Statements and Exhibi
On March 17, 2009 Enable Holdings, Inc. (the "Company") executed an Independent Consulting Agreement, effective as of March 15, 2009 (the "Agreement") with Salzwedel Financial Communications, Inc. (the "Consultant"). The Agreement expires, if not earlier pursuant to such Agreement, on May 15, 2010.
The Consultant will represent the Company in investors' communications and public relations with existing shareholders, brokers, dealers and other investment professionals as to the Company's current and proposed activities, and to consult with management concerning such Company activities.
For undertaking the engagement, for previous services rendered and for other good and valuable consideration, the Company has agreed to issue the Consultant a Commencement Bonus of 900,000 shares of Common Stock and a five-year warrant to purchase 3,000,000 shares of Common Stock at $0.25 per share. Additionally the Company has agreed to pay the Consultant $8,000 cash per month.
The Independent Consulting Agreement is attached hereto as Exhibit 10.1 and incorporated into this Report.
