Item 7. Management's Discussion and Analysis of Financial Condition and Results of Operation

The Company has excluded from this report some of the comments relating to the net loss for the period and the table that reflected differences that it intended to elucidate the reader of the financial statements. The specific reference was to the table originally reflecting net loss less the non-cash compensation and beneficial conversion feature in the convertible debenture and related per share results. The Company's intention was to reflect material changes in the comparable periods, however, the format presented is considered a non-GAAP presentation that the Company would not want reflected in its annual report.
