APPOINTMENT OF CERTAIN OFFICERS; COMPENSATORY ARRANGEMENTS OF CERTAIN
OFFICERS.
On March 5, 2009, Jerry C. Cirino resigned from the Board of Directors of
Urologix, Inc. (the "Company") unrelated to any disagreement regarding the
Company's operations, policies or practices. Mr. Cirino stated that he was
resigning to devote more time to his other business activities. Also on March 5,
2009, upon the recommendation of the Governance/Nominating Committee, the
Company's Board of Directors appointed William M. Moore to replace Mr. Cirino on
the Audit Committee.
