Ditech Networks, Inc. announced today that its Board of Directors, in
consultation with its legal and financial advisors, determined to reject the
previously announced unsolicited, non-binding proposal from AccessData to
acquire Ditech Networks for $1.25 per share.
After considering the offer, the Board of Directors of Ditech Networks
determined that the offer from AccessData is not in the best interests of the
Ditech Networks shareholders, as the offer does not reflect the current value of
the assets of the company and/or the potential of the new initiatives the
company has announced.
