Item 8.01 Other Events.

Pursuant to an agreement between the Company and the Commonwealth of Australia dated March 19, 2008, which established mutually agreed terms for termination of the Australia SH-2G(A) helicopter program (and which has been previously announced), the Commonwealth of Australia transferred ownership of the SH-2G(A) aircraft, spare parts and certain other items to the Company on February 12, 2009. In anticipation of this transfer, the Helicopters segment has attended trade events, obtained marketing licenses required by the United States Government and begun discussions with many potential foreign government customers.
