Item 8.01 Other Events

On February 4, 2009, NDS Group Limited (the "Company") issued a press release announcing that the High Court of Justice in England and Wales approved the remaining elements of the scheme of arrangement pursuant to which News Corporation and two subsidiaries of funds advised by Permira Advisers LLP will take NDS private. A copy of the press release is attached hereto as Exhibit 99.1 and is hereby incorporated by reference.
