(e) On January 5, 2009, Michael Silton, President and Chief Executive Officer of
Rainmaker Systems, Inc. (the "Company"), voluntarily reduced his annual base
salary with the Company by 25% for the period beginning January 1, 2009 through
March 31, 2009. All other terms and conditions of Mr. Silton's employment
agreement with the Company remain unchanged.
