Item 3.01 Notice of Delisting or Failure to Satisfy a Continued Listing Rule or
Standard; Transfer of Listing.
On December 26, 2008, MasTec, Inc. (the "Company") notified the New York
Stock Exchange that it plans to resolve its present noncompliance with
Section 304 of the NYSE Listed Company Manual ("Section 304") at its next
regularly scheduled board meeting. The previously disclosed director resignation
of Austin Shanfelter resulted in the Company's classes of directors not being of
approximately equal size in accordance with Section 304.
