ITEM 1.01. ENTRY INTO A MATERIAL DEFINITIVE AGREEMENT.

On December 22, 2008, China Valves Technology, Inc. (the "Company") entered into an amendment (the "Amendment") to the Registration Rights Agreement (the "Registration Rights Agreement"), dated as of August 26, 2008, among the Company and the investors identified in the signature pages to the Registration Rights Agreement. The amendment extended by forty-five days the deadline by which the registration statement that was filed by the Company pursuant to the Registration Rights Agreement must become effective.
