Item 5.02 -Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

At a Board Meeting on December 11, 2008, Mr. Gary Branning resigned as the Company's Chief Financial Officer, Secretary and Treasurer; Mr. Branning resigned in order to devote more time to his other endeavors and not as a result of any disagreement between himself and the Company. Mr. Branning will maintain his Director position with PhytoMedical Technologies, Inc.

The Company's Board of Directors appointed Director, Mr. Ray Krauss, as its Chief Financial Officer, Secretary and Treasurer effective as of the end of the day, twelve midnight, December 11, 2008.

The resignations of Mr. Branning as the Company's Chief Financial Officer, Secretary and Treasurer and the appointment of Mr. Krauss to those positions is effective as of the end of the day, twelve midnight, December 11, 2008.
