Effective December 9, 2008, Mr. Matthew Dillon, Mr. James Boyle and Mr. Nestor Gounaris each resigned from their positions as independent directors of Energroup Holdings Corporation (the "Registrant"). Their decisions to resign were not the result of any material disagreement with the Registrant on any matter relating to the Registrant's operations, policies or practices.
