(a) Amendments to Articles of Incorporation or Bylaws

On December 4, 2008, Hungarian Telephone and Cable Corp. (the "Company") amended its articles of incorporation and bylaws to change its registered agent and the location of the registered office of the Company in the State of Delaware. The new registered office of the Company in the State of Delaware is RL&F Service Corp., One Rodney Square, 10th Floor, Tenth and King Streets, in the City of Wilmington, County of New Castle, 19801. The registered agent at such address is RL&F Service Corp.
