ITEM 5.02 DEPARTURE OF DIRECTORS OR PRINCIPAL OFFICERS; ELECTION OF DIRECTORS; APPOINTMENT OF PRINCIPAL OFFICERS

Effective on August 8, 2008, the Board of Directors (the "Board") of Mainland Resources, Inc., a Nevada corporation (the "Company") accepted the resignation of David Urquhart as the Director. The Company received notice of Mr. Urquhart's resignation approximately September 19, 2008.

The resignation of Mr. Urquhart is not a result of any disagreement between the Company or Mr. Urquhart pertaining to matters relating to the Company's operations, policies or practices.
