Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On August 27, 2008, Applied Micro Circuits Corporation (the "Company") and Daryn
Lau reached agreement on the termination of Mr. Lau's employment with the
Company. Mr. Lau's last day of employment will be September 12, 2008. Mr. Lau
will receive termination benefits under the Company's Executive Severance
Benefits Plan and, in addition, will receive eight months of accelerated vesting
of his restricted stock units.
