(b) Effective August 15, 2008, Peter R. Conway has resigned from the Board of
Directors of Rochester Medical Corporation (the "Company") to focus more fully
on other business ventures. Mr. Conway served as a Director of the Company since
May 1988. The Company's Nominating Committee will undertake a review of
potential director candidates to fill the vacancy on the Board left by Mr.
Conway's departure.
