On July 1, 2008, MDU Resources Group, Inc. (the "Company") issued a press release announcing that it has entered into a definitive merger agreement to acquire Intermountain Gas Company ("Intermountain") subject to various regulatory reviews, as well as antitrust clearance under the Hart-Scott-Rodino Antitrust Improvements Act, and the satisfaction of other customary closing conditions.
