Item 7.01. Regulation FD Disclosure.
On June 12, 2008, the Board of Directors of Penn Virginia Resource GP, LLC,
general partner of Penn Virginia Resource Partners, L.P. (the "Partnership"),
decided for administrative reasons to postpone the special meeting of the
Partnership previously set for July 29, 2008 and for which a Preliminary Proxy
Statement had been filed with the Securities and Exchange Commission ("SEC") on
June 5, 2008.
The Partnership will file another Preliminary Proxy Statement with the SEC when
the new meeting date has been set.
