Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On May 6, 2008, AMCOL International Corporation (the "Company") issued a press release announcing the appointment of Mr. Don Pearson, age 46, as Vice President, Chief Financial Officer of the Company, to be effective May 19, 2008. Mr. Gary L. Castagna will remain with the Company as Senior Vice President and President, Global Minerals. A copy of the press release announcing these events is attached hereto as Exhibit 99.1

Prior to joining the Company, Mr. Pearson was a member of UPM-Kymmene Corporation's management team for about four years, first as the North American Financial Controller and most recently, since May 2006, as Vice President of Finance for the North American operations. Prior to joining UPM-Kymmene Corporation, Mr. Pearson served as Senior Vice President of Business Planning with Information Resources, Inc., located in Chicago, Illinois.
